IntegriDate.com Terms and Conditions Agreement
Welcome to IntegriDate.com, the service whose mission is to bring integrity and
honesty into the world of online dating.
IntegriDate is operated by Xercel, Inc.
By using the IntegriDate.com website, you agree to be held responsible and act
accordingly to these Terms and Conditions. This applies whether or not you register
as a member of IntegriDate.com. If you object or do not agree to anything in this
agreement, do not use services provided by IntegriDate.com website. The Terms and
Conditions are subject to change by IntegriDate.com at any time and those changes
would be effective upon posting on the IntegriDate.com website. Your use of
IntegriDate.com website or any IntegriDate.com related services after posting of
those changes will constitute acceptance by you of such changes.
Acceptance of Terms and Conditions of IntegriDate.com
a. Electronic Agreement
This agreement is an electronic contract that sets out the legally binding terms
of your use of the IntegriDate.com website and your membership in the services provided
by IntegriDate.com. This agreement may be modified by IntegriDate.com. Modifications
are effective upon posting by IntegriDate.com on the IntegriDate.com website. Agreement
includes IntegriDate.com website and any other services related and offered in relation
to the IntegriDate.com website. By accessing the IntegriDate.com website or becoming a
member, you accept this agreement and agree to the terms and conditions defined in this
agreement.
b. Non-electronic copy
You have the right to ask for and to receive this agreement in non-electronic form.
You may request a non-electronic copy of this Agreement at any time. To receive a
non-electronic copy of this Agreement, please send an e-mail to

c. Withdrawing your consent
It is your right to withdraw your consent to have this agreement provided to you in the
electronic form.
(i) Effect. If you withdraw your consent to have this agreement provided to you in electronic
form, we will discontinue your membership and you will not be able to use the IntegriDate.com
website. We will issue you a new username and password, and renew your membership, so that you
can use the IntegriDate.com website again, but after we receive a signed copy of a non-electronic
version of this agreement, which we will send to you upon your request.
(ii) Notice. To withdraw your consent and/or request a non-electronic copy of this Agreement,
please send an email to info@integridate.com or a letter and self-addressed stamped envelope to:

(iii) Prospective Nature. Your withdrawal of consent will be effective after we receive your
withdrawal notice. Your withdrawal of consent will not affect the legal validity or enforceability
of the agreement provided to, and electronically signed by you prior to the effective date of your
withdrawal.
Eligibility
You must be at least eighteen (18) years of age to register as a member of IntegriDate.com or
use any of its features. Membership is void where prohibited. By using the IntegriDate.com website
you state that you have the right, authority and ability to enter into this agreement and to abide
to all of the terms and conditions of this agreement.
Membership and Subscription
You may become a member of the IntegriDate.com website and use its services at no cost. As a member,
you will have the ability to participate in all of the features available within the IntegriDate.com
website. However, in the future, IntegriDate.com may add more features for some which there may be a
fee, or IntegriDate.com can change its pricing policy, even regarding services currently charged at no
cost. IntegriDate.com will post these changes in a visible place and will notify you of any such changes
that concern you.
Term
This agreement will remain in full force and effect while you use the IntegriDate.com website and/or
are a member. You may terminate your membership at any time, for any reason, by contacting IntegriDate.com via email at
or sending a letter to IntegriDate.com (Xercel, Inc.), 2006 Walnut St 4FL, Philadelphia, PA. IntegriDate.com
may terminate your membership by sending a notice to you at the email address you provide to IntegriDate.com.
All decisions regarding the termination of membership will be made in the discretion of IntegriDate.com.
IntegriDate.com is not required to provide you notice prior to terminating your membership. IntegriDate.com
is not required, and may be prohibited, from disclosing a reason for the termination of your membership.
This agreement will remain in effect even after the membership is terminated. All terms that can survive
termination of this agreement will survive such termination.
Security of the account
You are responsible for maintaining the confidentiality of the login data (email, username, password or
any other relevant data) that you designate or is assigned to you during your use of the website. You are
fully responsible for all activities that occur under username and password or other login data assigned
to you or chosen by you. You agree to (a) immediately notify IntegriDate.com of any unauthorized use of
your username or password, and (b) ensure that you logout from your account at the end of each session.
IntegriDate.com will not be liable for any damage or loss that may arise from your failure to comply with
provision stated above.
Non-commercial Use by Members
The IntegriDate.com website is for the personal use of individual members only and may not be used for
any commercial purposes. Organizations, companies, and/or businesses may not become members of the
IntegriDate.com website and may not use any of its services or features. Unauthorized and/or illegal uses
of the website, including collecting usernames and/or email addresses of members by electronic or any other
means for the purpose of sending unsolicited email and unauthorized linking to or framing the website or its
parts may be investigated, and appropriate legal action may be taken. Use of the IntegriDate.com website is
with the permission of the IntegriDate.com, and it may be revoked at any time, for any reason, at the discretion
of IntegriDate.com.
Interactions within IntegriDate.com website
You are solely responsible for your interactions with other members of the website. You understand that
IntegriDate.com does not in any way screen its members. All statements made by any of the members are not
validated by IntegriDate.com and it is your solely responsibility to interpret or use those statements.
IntegriDate.com makes no representations or warranties as to the conduct of members. In no event shall
IntegriDate.com be liable for any damages whatsoever, whether it be direct, indirect or any other kind,
and that may arise from the conduct of you or anyone else in connection with the use of the IntegriDate.com
website, including without limitation, bodily injury, emotional distress, and/or any other damages resulting
from communications or meetings with other users registered with IntegriDate.com. You agree to take all
reasonable precautions in all of your interactions with other members of the IntegriDate.com website,
particularly if you decide to meet offline or in person.

b. Reliance on Content

but not directly by IntegriDate.com, are those of their authors, and may not necessarily be relied upon. Such
authors are responsible for such content. IntegriDate.com does not: (i) guarantee the accuracy of any information
on the IntegriDate.com website, or (ii) endorse or accept responsibility for the accuracy or reliability of any
advice, statement, or opinion made by any party that appears on the IntegriDate.com website. Under no
circumstances will IntegriDate.com or be responsible for any loss or damage resulting from member’s or anybody’s
reliance on information or content posted on the IntegriDate.com website or transmitted to or by any members.
c. Content Posted by You
You are responsible for the content you display or publish on the IntegriDate.com website, or that you
transmit to any other members. You explicitly agree that you will not post on the IntegriDate.com website,
or in any other way transmit to other members, any inaccurate, defamatory, abusive, obscene, profane,
offensive, sexually oriented, harassing, threatening, racially offensive, or illegal material, or any material
that infringes or violates another party's rights (including, but not limited to, intellectual property
rights, and rights of privacy and publicity). You will not provide inaccurate, misleading or false
information to IntegriDate.com or to any other members of the IntegriDate.com website. If information
provided to IntegriDate.com website, or to any member, subsequently becomes inaccurate, misleading or
false, you will promptly notify IntegriDate.com of such change.
You understand and agree that IntegriDate.com may review and delete any content, messages, double-blind
emails, photos or any other content.
By posting any content to any area of IntegriDate.com, you grant and warrant that you have the right
to grant, to IntegriDate.com, full right to use such information and content and to prepare derivative works
of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of
the foregoing. You also warrant that public posting and use of your content by IntegriDate.com will not
infringe or violate the rights of any third party.
Your use of the IntegriDate.com services, including but not limited to the content you post on the
IntegriDate.com website must be in accordance with all applicable laws and regulations.
You may not engage in solicitation of, other members through IntegriDate.com website or through
channels accessed due to your membership. You may not transmit any chain letters or junk email to other
members.
All information you include in your IntegriDate.com profile must be accurate, current and complete.
Modifications to Service
IntegriDate.com reserves the right to modify or discontinue its services at any time, with or without
notice. You agree that IntegriDate.com will not be liable to you or to anybody for any modification,
suspension or discontinuance of the IntegriDate.com services.
Disputes between Members
You are solely responsible for your interactions with other members of the IntegriDate.com website.
IntegriDate.com reserves the right, but has no whatsoever obligation, to monitor disputes between you and
other members of the IntegriDate.com website.
Disclaimers
IntegriDate.com is not responsible for any incorrect content posted on the IntegriDate.com website or
in connection with the IntegriDate.com services, whether caused by users of the IntegriDate.com website,
members or by any of the equipment or programming associated with or utilized in the IntegriDate.com
services.
IntegriDate.com is not responsible for the conduct, whether online or offline, of any user of the
IntegriDate.com website. IntegriDate.com assumes no responsibility for any error, interruption, defect,
delay in operation or transmission, communications failure, theft or destruction or unauthorized access
to, or alteration of user communications. IntegriDate.com is not responsible for any problems of any
network or lines, computer systems, servers or providers, computer equipment, software, failure of email
or traffic problems on the Internet. Under no circumstances will IntegriDate.com be responsible for any
loss or damage, including personal injury or death, resulting from anyone's use of the IntegriDate.com

Indemnity by You
You agree to indemnify and hold IntegriDate.com, its officers, agents, other partners and employees,
harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any
third party due to or arising out of your use of the IntegriDate.com website and related services in
violation of this agreement and/or arising from a breach of this agreement and/or any breach of your
representations and warranties set forth above.
No Third Party Beneficiaries
You agree that, except as otherwise expressly provided in this Agreement, there shall be no third party
beneficiaries to this agreement.
Other
This Agreement contains the entire agreement between you and IntegriDate.com regarding the use of the
IntegriDate.com website and/or services provided by IntegriDate.com. If any provision of this agreement is
held invalid, the remainder of this agreement shall continue in full force and effect.
